FixZone Provider Service Agreement

Entity: Fixzone Inc., a Delaware corporation operating primarily in New York

This Provider Service Agreement ("Agreement") governs the relationship between Fixzone Inc. ("FixZone", "we," "our," "us") and the individual or business registering as a service provider ("Provider," "you," "your"). By creating a Provider account, accepting jobs, or using the FixZone platform, you agree to be bound by this Agreement. If you do not agree, you must not use FixZone as a Provider.
1. Fixzone’s Role: Neutral Marketplace
FixZone is a technology platform that connects Clients with independent service Providers.
FixZone:
- Does not employ Providers
- Does not supervise service execution
- Does not control pricing (where applicable)
- Does not guarantee work quality
- Does not provide tools, equipment, training, or vehicles
- Is not responsible for property damage, injuries, or job outcomes
Providers perform services independently and are solely responsible for their work.
2. Independent Contractor Status
Provider is not an employee of FixZone. Provider acknowledges:
- No workers’ compensation coverage
- No employee benefits
- No minimum wage or overtime rights
- No reimbursement for tools, travel, materials, or expenses
- Provider sets their own schedule
- Provider may accept or decline any job
- Provider is responsible for self-employment taxes
This independence is essential. Any violation may result in removal.
3. Provider Responsibilities
3.1 Perform Services Professionally
- Deliver high-quality work
- Follow local building codes and safety standards
- Use proper tools and techniques
- Provide honest and accurate assessments
3.2 Maintain All Required Licenses & Permits
For regulated trades (electrical, plumbing, HVAC, boilers, gas, etc.), Providers must maintain:
- State and municipal licensing
- Certifications
- Special permits
- Insurance required by law
Providers must upload valid documents and keep them up to date.
3.3 Insurance Requirements
FixZone may require Providers to carry:
- General liability insurance
- Professional liability insurance
- Workers’ compensation (if they employ others)
Provider is solely responsible for maintaining coverage.
3.4 Background Check Authorization
FixZone may require background checks. Provider agrees to:
- Background screening
- Identity verification
- Additional verification requests
Refusal may result in account deactivation.
3.5 Tools, Equipment & Materials
Provider is responsible for all tools, equipment, transportation, and materials. FixZone does not supply any of these items.
4. Job Acceptance & Cancellations
4.1 Accepting Jobs
- Provider must show up on time
- Provider must complete the job unless conditions are unsafe
- Pricing cannot be changed without Client approval
4.2 Provider No-Shows
A “Provider No-Show” may result in:
- Penalties
- Loss of FixCoin
- Account suspension
- Permanent removal
4.3 Cancellations
Provider must give valid reasons for cancellation. Repeated cancellations may result in action. Refer to the Cancellation & Refund Policy.
5. Payment Terms
FixZone uses Stripe Connect to process payments and payouts. Provider agrees to:
- Create and maintain a valid Stripe account
- Comply with Stripe’s Terms of Service
- Accept FixZone fees and deductions
- Allow FixZone to withhold payouts in suspected fraud cases
FixZone is not responsible for:
- Delays caused by Stripe
- Bank errors
- Incorrect banking information provided by Provider
6. Prohibited Provider Conduct
Provider may NOT:
- Perform unlicensed services
- Request or accept off-platform payments
- Solicit private clients through FixZone
- Bribe Clients for reviews
- Manipulate ratings or job history
- Share confidential Client information
- Arrive intoxicated
- Engage in harassment or discrimination
- Damage property intentionally or negligently
- Abuse FixCoin or referral programs
- Alter pricing without Client consent
- Upload false or misleading information
Violation may result in immediate removal.
7. Off-Platform Transactions – Zero Tolerance
Providers may not:
- No accepting or requesting cash, Zelle, CashApp, Venmo, PayPal, etc.
- No taking Clients off FixZone to avoid fees
- No exchanging personal contact info before job acceptance
Any attempt results in immediate termination. FixZone may legally seek recovery of lost fees.
8. Liability & Indemnification
Provider agrees to fully indemnify FixZone from all:
- Claims
- Damages
- Injuries
- Losses
- Lawsuits
- Property damage
- Fines
- Legal fees
Provider is 100% responsible for service performance. FixZone provides no insurance or protection.
9. Disputes With Clients
FixZone may mediate disputes but is not obligated. Provider agrees to cooperate with investigations, provide evidence when requested, and accept FixZone’s dispute resolution for platform-related matters. Failure to cooperate may result in withheld payouts.
10. FixCoin Program Rules
Providers agree that FixCoin:
- Is not cash
- Cannot be transferred or exchanged
- Is only usable within FixZone
- Cannot exceed 3% of a transaction
- Expires in 6 months
- May be revoked for fraud or misconduct
FixCoin is a promotional reward, not a right.
11. Privacy & Location Policy
- Respect Client privacy
- Never screenshot or share Client addresses
- Use location data only for job purposes
- Follow FixZone’s Location Services Disclosure
Violation in this area is grounds for immediate termination.
12. Intellectual Property Rights
- Providers may not copy FixZone branding, LOFB identity, or design
- May not create similar competing platforms
- May not reproduce FixZone software, UI, or architecture
FixZone retains all intellectual property rights.
13. Termination
FixZone may terminate Provider accounts for:
- Expired or invalid licenses
- Fraud or suspected fraud
- Safety concerns
- Poor communication
- Low work quality
- FixCoin abuse
- Chargebacks
- Off-platform payments
Termination does not entitle Provider to unpaid FixCoin or future payouts. FixZone may withhold payouts tied to fraud or disputes.
14. Arbitration & Class Action Waiver
All disputes between Provider and FixZone are subject to binding arbitration, individual claims only (no class actions, no class arbitration), under the Federal Arbitration Act where applicable. This clause is mandatory for platform use.
15. Governing Law
This Agreement is governed by Delaware law (corporate matters) and New York law (operational matters). Arbitration occurs in New York County unless otherwise agreed.
16. Amendments
FixZone may update this Agreement at any time. Continued use indicates acceptance of the revised Agreement.
